Acceptance of Terms
These Terms of Service ("Terms") form a legally binding agreement between you ("User", "you", or "your") and RevSmart ("RevSmart", "we", "us", or "our"), a business operating under the laws of Canada.
By accessing or using the RevSmart platform at revsmart.pro (the "Service"), creating an account, or clicking any button that indicates acceptance, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.
If you do not agree to these Terms, you must not access or use the Service. If you are using the Service on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms.
Minimum age: You must be at least 18 years of age to use RevSmart. By using the Service, you represent that you meet this requirement.

Description of Service
RevSmart is a software-as-a-service (SaaS) platform that uses artificial intelligence to generate professional, SEO-optimized responses to Google business reviews. The Service is designed for local businesses and marketing professionals.
The Service includes, but is not limited to:
- AI-generated review response suggestions based on user-provided review text, business type, and sentiment;
- A review history dashboard for tracking responded reviews (Pro and Agency plans);
- Multiple business profile management (Agency plan);
- CSV export functionality (Pro and Agency plans);
- Account management features including subscription billing.
We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice, and without liability to you.

Accounts & Registration
Account Creation
To access the Service beyond the landing page, you must create an account by providing your name, a valid email address, and a password of at least 8 characters. You agree to provide accurate, current, and complete information.
Account Security
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately at [email protected] if you suspect any unauthorized access to your account.
One Account Per User
Each user may maintain only one account. Creating multiple accounts to circumvent usage limits or abuse free-tier allowances is prohibited and may result in immediate termination of all associated accounts.
Account Accuracy
You must keep your account information accurate and up to date. RevSmart is not liable for any loss or damage arising from your failure to maintain accurate account information.

Plans & Billing
Plan Tiers
RevSmart offers the following subscription plans:
- Free Plan: 5 AI-generated responses per calendar month, no credit card required.
- Pro Plan: Unlimited responses, review dashboard, CSV export, and email support, billed at $19 CAD per month.
- Agency Plan: All Pro features plus up to 10 business profiles, per-profile history, white-label responses, and priority phone support, billed at $69 CAD per month.
Billing and Payment
Paid plans are billed monthly in advance. All payments are processed securely by Stripe, Inc. By subscribing to a paid plan, you authorize RevSmart to charge your payment method on a recurring monthly basis until you cancel.
All prices are stated in Canadian dollars (CAD) unless otherwise specified. Users outside Canada are responsible for any currency conversion fees charged by their payment provider.
Cancellation and Refunds
You may cancel your subscription at any time through your account settings or by contacting us at [email protected]. Cancellation takes effect at the end of the current billing period. We do not provide prorated refunds for partial months, except where required by applicable law.
Plan Changes
Upgrades take effect immediately. Downgrades take effect at the start of the next billing period.
Price Changes
We reserve the right to modify our pricing at any time. We will provide at least 30 days' notice of any price changes to active subscribers via email. Continued use of the Service after a price change constitutes acceptance of the new pricing.
Taxes
You are responsible for all applicable taxes, levies, or duties imposed by taxing authorities. Where required, RevSmart may add applicable Canadian sales taxes (GST/HST/PST) to your subscription price.

Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not use the Service to:
- Generate responses for reviews that you know to be fake, fabricated, or otherwise inauthentic;
- Violate any applicable local, provincial, national, or international law or regulation;
- Infringe upon the intellectual property rights of any third party;
- Transmit any material that is harmful, threatening, abusive, defamatory, obscene, or otherwise objectionable;
- Attempt to gain unauthorized access to any part of the Service, its servers, or any connected systems;
- Interfere with or disrupt the integrity or performance of the Service;
- Use automated tools, scrapers, bots, or scripts to access the Service in an unauthorized manner;
- Reverse engineer, decompile, or disassemble any part of the Service;
- Resell, sublicense, or commercialize access to the Service without our express written permission;
- Submit review text that contains personal data of third parties without their consent.
We reserve the right to investigate and take appropriate action against any violation of this section, including suspending or terminating your account and reporting to law enforcement where appropriate.

Intellectual Property
RevSmart's Property
The Service and its original content, features, functionality, branding, software code, design, and documentation are owned by RevSmart and are protected by Canadian and international copyright, trademark, and other intellectual property laws. You must not copy, reproduce, distribute, or create derivative works of any part of the Service without our express written consent.
Your Licence to Use the Service
Subject to these Terms and payment of any applicable fees, RevSmart grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your own internal business purposes.
Feedback
If you submit feedback, suggestions, or ideas about the Service, you grant RevSmart a perpetual, irrevocable, royalty-free licence to use, modify, and incorporate that feedback without any obligation to compensate you.

Your Content
You retain full ownership of any content you submit to the Service, including review text, business names, and related information ("Your Content"). By submitting content, you grant RevSmart a limited, non-exclusive licence to process and use Your Content solely for the purpose of providing the Service to you.
You represent and warrant that:
- You have all necessary rights to submit Your Content;
- Your Content does not violate any third party's rights or any applicable law;
- Your Content does not contain personal data of third parties that you are not authorized to share.
RevSmart does not claim ownership of Your Content and will not sell or share it with third parties except as described in our Privacy Policy.

AI-Generated Content
The Service uses third-party artificial intelligence models, including those provided by Anthropic, PBC, to generate review responses. By using the Service, you acknowledge and agree that:
- AI-generated responses are suggestions only. You are solely responsible for reviewing, editing, and approving any response before posting it publicly;
- RevSmart does not guarantee the accuracy, appropriateness, tone, or SEO effectiveness of any generated response;
- AI-generated content may occasionally produce unexpected, inaccurate, or unsuitable output. You should apply your own judgment before use;
- RevSmart is not responsible for any consequences arising from your use of AI-generated responses, including any impact on your business reputation or Google ranking;
- You must not use generated responses in any way that violates Google's review policies or any other platform's terms of service.
Important: Posting AI-generated responses as-is without review is done entirely at your own risk. We strongly recommend reading each response before posting it publicly.

Privacy
Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy.
RevSmart complies with Canada's Personal Information Protection and Electronic Documents Act (PIPEDA), the European Union's General Data Protection Regulation (GDPR) for EU/UK users, and the California Consumer Privacy Act (CCPA) for California residents.

Disclaimers
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
RevSmart does not warrant that:
- The Service will be uninterrupted, error-free, or secure at all times;
- Any errors or defects will be corrected;
- The Service or the servers that make it available are free of viruses or other harmful components;
- AI-generated responses will improve your Google ranking, review score, or business reputation.
RevSmart is not affiliated with, endorsed by, or in any way officially connected to Google LLC. "Google" and "Google Business Profile" are trademarks of Google LLC.

Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, REVSMART, ITS DIRECTORS, EMPLOYEES, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, OR DAMAGE TO BUSINESS REPUTATION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.
IN NO EVENT SHALL REVSMART'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO REVSMART IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED CANADIAN DOLLARS ($100 CAD).
Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for certain damages. In such jurisdictions, RevSmart's liability is limited to the maximum extent permitted by law.

Indemnification
You agree to indemnify, defend, and hold harmless RevSmart and its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable legal fees) arising out of or relating to:
- Your violation of these Terms;
- Your use or misuse of the Service;
- Your Content;
- Your violation of any third-party rights, including intellectual property rights;
- Your violation of any applicable law or regulation.

Termination
Termination by You
You may close your account at any time by contacting us at [email protected]. If you have an active paid subscription, cancellation takes effect at the end of your current billing period.
Termination by RevSmart
We may suspend or terminate your account immediately, with or without notice, if we reasonably believe you have violated these Terms, engaged in fraudulent activity, or if continued access would cause harm to RevSmart or other users.
Effect of Termination
Upon termination, your right to use the Service ceases immediately. Sections 6 (Intellectual Property), 10 (Disclaimers), 11 (Limitation of Liability), 12 (Indemnification), and 15 (Governing Law) survive termination.
We may retain certain data after account closure as required by law or for legitimate business purposes, as described in our Privacy Policy.

Changes to Terms
We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by:
- Sending an email to the address associated with your account; and/or
- Posting a prominent notice on the Service.
Your continued use of the Service after the effective date of any revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Service.

Governing Law & Disputes
These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation between the parties. If such negotiation fails, disputes shall be resolved by binding arbitration in Ontario, Canada, in accordance with the rules of the ADR Institute of Canada, unless you are a consumer located in a jurisdiction that provides you with a statutory right to bring claims in court.
Notwithstanding the above, either party may seek injunctive or other equitable relief from a court of competent jurisdiction.
EU / UK Users: If you are located in the European Union or United Kingdom, you may also have the right to bring a dispute before the courts of your country of residence.
